COD2PAY Terms & Conditions
Commercial agreement and operating terms governing the use of COD2PAY on your Shopify storefront.
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between you ("Merchant", "Store Owner", "User", "you") and COD2PAY Technologies ("COD2PAY", "we", "us", "our"), operated by QByteSoft. By installing, activating, or using the COD2PAY application from the Shopify App Store, you agree to be bound by these Terms and our Privacy Policy.
1. Acceptance of Terms & Shopify Ecosystem
By connecting COD2PAY to your Shopify store, you certify that:
- You are an authorized administrator of the Shopify store with full legal authority to install applications and commit to monthly application charges.
- You agree to comply with Shopify’s Partner Program Agreement, Shopify Acceptable Use Policy, and all regional laws regulating e-commerce and electronic transactions.
- If you do not agree to these Terms in full, you must refrain from installing the application or immediately uninstall COD2PAY from your Shopify store.
2. Description of Services
COD2PAY provides software automation tools specifically tailored for Cash-on-Delivery (COD) merchants operating on Shopify:
⚡ Checkout UI Extension
Native widget embedded on the post-purchase Thank You and Order Status pages displaying dynamic prepayment incentives (e.g. cashback or free delivery).
📲 1-Tap App Deep-Linking
Instant deep-links launching mobile financial apps (bKash, Nagad, Rocket, Upay) with pre-filled merchant wallet numbers and invoice references.
🛡️ TrxID Verification Engine
Cryptographic format checking and duplicate transaction rejection to ensure each Transaction ID is unique and valid.
📦 Courier API Integration
Automated tagging and webhook triggers for third-party couriers (Pathao, Steadfast, RedX) to waive 1.5% COD collection fees and accelerate dispatch.
3. Subscription Billing, 14-Day Free Trial & Fair Quota Rules
All billing for COD2PAY is executed strictly through Shopify's official Billing API (RecurringApplicationCharge) and appears on your unified monthly Shopify invoice:
Unconverted COD Orders Are Always Free & Unlimited
Unlike traditional apps that charge for every store order, COD2PAY charges zero fees for orders that remain standard Cash on Delivery. Your monthly plan quota is consumed only when an order successfully converts into a verified prepayment.
- 14-Day Free Trial: All paid tiers include an unrestricted 14-day free trial. If you uninstall COD2PAY within this 14-day window, you will never be charged.
- Recurring Monthly Charges: Upon expiration of the 14-day free trial, your selected plan charges automatically through your Shopify merchant account.
- Plan Upgrades & Downgrades: Tier modifications take effect immediately. Shopify automatically prorates billing according to days remaining in your current cycle.
- Cancellation & Removal: You may cancel anytime by uninstalling COD2PAY directly from Shopify Admin (Settings > Apps and sales channels > Uninstall). No further charges will ever be generated.
4. Merchant Obligations & MFS Gateway Setup
As a merchant configuring payment options within COD2PAY, you bear specific operational responsibilities:
⚠️ CRITICAL: ACCURACY OF RECIPIENT WALLET NUMBERS
You are solely responsible for ensuring the accuracy of all recipient mobile financial numbers (e.g. bKash merchant or personal numbers, Nagad wallets, Rocket accounts) and bank account details entered into the COD2PAY settings. COD2PAY does not hold, escrow, or route merchant funds. Payments travel directly from the consumer's wallet to your specified account. COD2PAY is not liable for customer funds mistakenly transferred to incorrect third-party numbers configured by the merchant.
- Incentive Fulfillment: If you advertise a discount, cashback coupon, or free shipping voucher in the Thank You page widget, you agree to honor that incentive upon verified prepayment.
- Legal Compliance: You must comply with all national telecommunications, central bank guidelines, consumer protection, and tax regulations in your operating jurisdiction.
- Customer Refund Policies: If an order is returned or cancelled following verified prepayment, the merchant remains solely responsible for refunding the customer according to the merchant's published store policy.
5. Prepayment Verification & Fraud Prevention Rules
COD2PAY provides automated technological verification designed to maximize conversion while filtering invalid or fraudulent submissions:
- Syntax & Pattern Verification: Incoming Transaction IDs are checked against official mobile network operator syntax rules (e.g. 10-digit alphanumeric strings for bKash, 8–10 alphanumeric for Nagad).
- Duplicate Guard Engine: Submissions are checked against historical records across your store to prevent a dishonest customer from reusing a previous TrxID on multiple orders.
- Final Merchant Verification Authority: While COD2PAY automates status updates and order tagging, the merchant retains final administrative discretion. Merchants are strongly encouraged to inspect incoming SMS notifications or merchant MFS statements for high-value orders prior to dispatching physical inventory.
- Fraud Disclaimer: COD2PAY is not liable for fraudulent consumer claims or payments executed outside the declared parameters of the order.
6. Courier & Logistics Disclaimers
COD2PAY bridges your Shopify orders with third-party logistics and courier services (such as Pathao Courier, Steadfast, RedX, Paperfly, and eCourier):
Technological Integration Only: COD2PAY provides the API connection to auto-tag consignments as "Prepaid" and trigger parcel pickup webhooks. COD2PAY is not a shipping carrier, freight forwarder, or courier.
COD2PAY does not guarantee courier pickup speeds, physical parcel transit times, safe doorstep handover, or courier cash settlement turnaround cycles. All physical delivery liabilities remain governed by your independent merchant contract with each respective courier company.
7. 99.9% Uptime SLA & Dedicated Technical Support
We recognize that your Thank You page and checkout flow are mission-critical to your business revenue:
- 99.9% Availability: Our cloud infrastructure is deployed on redundant clusters with automatic health checks, automated failovers, and proactive rate-limit buffers.
- Merchant Support Desk: All merchants have access to our technical support team via email ([email protected]) and our dedicated WhatsApp Live Engineering Desk (+880 1611-032464).
- Maintenance Windows: Scheduled maintenance with potential service impact will be communicated via the merchant dashboard at least forty-eight (48) hours in advance.
8. Intellectual Property Rights
COD2PAY Technologies and QByteSoft retain all rights, title, and interest in and to the COD2PAY application, including:
- All proprietary source code, software architecture, and API endpoints.
- User interface designs, widget typography, animations, graphics, and documentation.
- Trademarks, logos, service marks, and brand assets associated with COD2PAY.
Merchants are granted a limited, non-exclusive, non-transferable, revocable license to use the app on active Shopify storefronts. You agree not to decompile, reverse engineer, resell, or distribute the software.
9. Limitation of Liability & Indemnity
To the maximum extent permitted by applicable law, in no event shall COD2PAY Technologies, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, customer goodwill, or third-party courier disputes.
Our total aggregate liability arising out of or related to these Terms or your use of the application shall not exceed the total subscription fees paid by you to COD2PAY during the twelve (12) months immediately preceding the event giving rise to liability.
Merchant Indemnification: You agree to defend, indemnify, and hold harmless COD2PAY against any claims, liabilities, damages, and expenses arising from your store's merchandise, breach of consumer protection laws, or unlawful commercial practices.
10. Termination & Governing Law
Either party may terminate this agreement at any time:
- Termination by Merchant: You may cancel immediately by uninstalling COD2PAY from your Shopify Admin. Uninstallation immediately terminates recurring billing.
- Termination by COD2PAY: We reserve the right to suspend or terminate app access if a merchant violates Shopify's Acceptable Use Policy, engages in fraudulent billing, or abuses API rate limits.
- Governing Law: These Terms shall be governed by and construed in accordance with the laws governing commercial software licensing, without regard to conflict of law principles.
